Summary
The Enterprise Law 2025 (No. 76/2025/QH15) amends and supplements a number of articles of the Enterprise Law 2020 to remove legal obstacles, protect investors' rights, and enhance transparency.
A key highlight is the introduction of the "beneficial owner" concept, which aims to clarify the actual ownership structure of enterprises, thereby supporting anti-money laundering efforts and controlling risky transactions. Individuals with actual control will bear corresponding responsibilities.
The Law also provides clearer definitions of dividends and details the methods for determining the market price of capital contributions/shares, ensuring fair rights for shareholders. Personal legal documents are also updated in sync with the new Citizen Identity regulations.
Notably, the new Law expands the entities allowed to establish and manage enterprises; accordingly, cadres and civil servants can participate in specific fields such as science, technology, and innovation, promoting the technology startup wave.
